Copyright, Trademark and Other Intellectual Property

The Site and its content — including its look, layout, design, appearance, graphics, and all materials we author — are owned by Olive & Rose LLC and protected by applicable intellectual-property law. Unauthorized reproduction is prohibited.

Part B — The ACSI Accreditation Assistant (Subscription Service)
This Part applies when your school subscribes to the ACSI Accreditation Assistant.

5. What the Service is
The Service is a web application (at app.oliveandrose.net) where your school uploads institutional accreditation documentation and receives organizational and analytical assistance: document organization against the ACSI Inspire blueprint, readiness reporting, AI-generated draft self-assessment content, downloadable formatted reports, and export of your organized documentation.

6. Drafts only — your school authors its accreditation submission

The Service organizes, audits, and drafts; it does not author. All draft ratings, narratives, and report content produced by the Service are starting points that your school must review, edit, and approve. Your school remains solely responsible for every submission it makes to ACSI or any accrediting body.
No accreditation guarantee. The Service does not guarantee any accreditation outcome, decision, or timeline by ACSI or anyone else.
Independence. Olive & Rose LLC is an independent company. The Service is not affiliated with, endorsed by, or sponsored by the Association of Christian Schools International (ACSI). ACSI, ACSI Inspire, and related marks are the property of their respective owners and are referenced only to describe the accreditation framework the Service helps schools prepare for.
AI-generated content. Draft content is produced with the assistance of large language models. AI output can be incorrect or incomplete. You must independently verify draft content before relying on it.
7. Accounts and access
Access to the Service requires a Site member account and an active subscription. You are responsible for safeguarding your login credentials and for all activity under your account. Each subscription covers one school; access is for the school's authorized staff and may not be shared outside the school or resold.

8. Subscription, billing, pause, and cancellation
-
Billing. The Service is billed as a recurring monthly subscription through the Site's checkout (processed by Wix and its payment providers) at the price shown at purchase. Prices may change with at least 30 days' notice; changes apply at your next billing cycle.
-
Pause. You may pause your subscription. While paused, billing stops ($0), your school's data is retained, and all Service functions are locked until you resume. We may send you service-related reminders tied to your accreditation timeline while paused.
-
Cancellation. You may cancel at any time, effective at the end of the current billing period. After cancellation or lapse, your data is retained for a 90-day grace period (during which you may resubscribe or request an export), after which it is deleted in accordance with the DPA.
-
No refunds for partial billing periods, except where required by law.

9. Acceptable use — no personal information, ever
The Service is designed for institutional documentation only (policies, handbooks, board minutes, plans, schedules, budgets-as-documents, and similar evidence). You agree that you will not upload personal information that could identify an individual — including student personally identifiable information (rosters, gradebooks, transcripts, IEP/504 records, health records, or any document containing student names alongside grades or identifiers) and personal contact details (personal phone numbers, email addresses, and street addresses) — and that you will redact such information before uploading, as detailed in the Data Responsibility Acknowledgement presented in the app.

The Service automatically screens uploads and refuses files that appear to contain personal information; a refused file is never stored or processed and its contents are deleted immediately. We may suspend accounts that repeatedly attempt to upload prohibited content.

10. Your data and our roles
As between you and us, your school owns its uploaded documents and the reports generated for it. You grant us the limited rights needed to operate the Service (to store, process, analyze, and render your content, including via the subprocessors listed in the DPA). Our processing of your school's data is governed by the DPA. We own the Service itself — its software, design, prompts, knowledge bases, and report formats.

11. Availability and changes
We aim for high availability but the Service is provided "as is" and "as available." We may modify features, perform maintenance, or discontinue the Service; if we discontinue it entirely we will give at least 60 days' notice and an opportunity to export your data.

12. Disclaimer of warranties
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, for both the Site and the Service.

13. Limitation of liability
To the fullest extent permitted by law: (a) we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data; and (b) our total aggregate liability arising out of or relating to the Site, the Service, or these Terms shall not exceed the subscription fees your school paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for the acts, omissions, outages, or breaches of third-party platforms (including Wix, Google Cloud, Anthropic, Pinecone, or Resend), except as set out in the DPA for our own configuration and operation of the Service.

14. Indemnification

Your school agrees to indemnify and hold harmless Olive & Rose LLC from claims, damages, losses, or expenses arising from: content your school uploads (including any student personal information uploaded in breach of Section 9); your school's accreditation submissions; or your school's violation of these Terms or applicable law — except to the extent caused by our gross negligence or willful misconduct.

15. Changes to these Terms

We may update these Terms. For material changes affecting the Service, we will post the updated version with a new version date and the app will ask you to re-accept before continued use. Continued use of the Site after changes are posted constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles.

17. Your rights and contact

California and European residents may request access to, correction of, or deletion of personal data as described in our Privacy Policy. Questions about these Terms: john@oliveandrose.net (Olive & Rose LLC, Phoenix, AZ, USA).
